Official Raffle Rules

Description of the Raffle: The Astros Foundation Share2Care 50/50 Raffle ("Raffle") is a charity raffle benefitting The Astros Foundation (“Foundation”), which seeks to harness the passion of baseball fans to support youth sports and education programs, the recognition/honor of our nation’s military, childhood cancer and domestic violence awareness and efforts to reduce homelessness. One Raffle is conducted at each Corpus Christi Hooks home game, and a one winner is randomly selected at each Raffle.

Agreement to Participate: Each and every person who purchases a Raffle ticket (“Ticket”) is an "Entrant" and is subject to, and agrees to be bound by, these terms and conditions in their entirety (“Official Rules”) and the decisions of the Foundation. The Official Rules and the Foundation’s decisions shall be binding and final as to all matters related to the Raffle. The Raffle is subject to all applicable federal, state and local, and municipal laws and regulations. Some restrictions apply. Void wherever prohibited or restricted by law.

Eligibility to Participate: The Raffle is open to all legal residents of the 50 United States and the District of Columbia that are age 18 or older as of the date of the entry. The Foundation and its representatives have the right to request photo identification from any person desiring to enter the Raffle. Employees, full-time, part-time, and seasonal, and their immediate family members, of the Foundation, Corpus Christi Baseball Club, LP, Hooks GP, LLC, Houston Astros, LLC, the other MLB PDL Entities (defined below) and each of their respective parent, subsidiary or affiliated companies, vendors, and each of their respective shareholders, employees, affiliates, representatives, agents, board members, and successors are not eligible to enter to participate the Raffle.

When to Enter: Tickets are available for purchase in-person only at Whataburger Field in Corpus Christi ("Ballpark") at each Corpus Christi Hooks home game from the time the gates open to the public, to the end of the Sixth inning.

How to Enter: An eligible person may enter the Raffle by purchasing 3 Tickets for $5.00, 10 Tickets for $10.00, 60 Tickets for $20.00, or 200 Tickets for $50.00 from designated Foundation representatives stationed throughout the Ballpark. No discounts or complimentary Tickets are provided. Tickets may only be purchased by debit card or credit card. Cash may be accepted from time to time at the Foundation’s sole discretion. Each Ticket is a receipt for Entrant's purchase and represents an entry for the Raffle Drawing occurring during the game in which the Ticket is purchased and is not eligible for any past or future Raffle Drawings. There is no limit to the number of Tickets an Entrant may purchase. All Ticket purchases are final; no refunds or replacements will be issued.

Drawing: Each game, the winning Ticket ("Winning Ticket") is selected in a random drawing from among all eligible entries received during that game (“Drawing”). Only one Winning Ticket will be selected during each Drawing. Each Drawing will be held approximately during the seventh inning and will be conducted by the Foundation whose decision will be final and binding.

The Winning Ticket is announced over the Ballpark’s Public Address System and posted online at www.milb.com/corpus-christi/community/raffle.

Claiming the Prize: For each Drawing, the Entrant who purchased the Winning Ticket and follows the claim procedures in these Official Rules is the “Official Winner”. To become an Official Winner, an Entrant must, within 30 calendar days after the Drawing date (“Claims Period"), (i) present the physical Winning Ticket, in legible condition, in-person to Guest Services, located on the Main Concourse, Section 119 during a game, or to a Foundation representative during normal business hours at the Corpus Christi Hooks Ballpark Office located at 734 E. Port Avenue, Corpus Christi, TX 78401, and (ii) provide the Foundation with information including Proof of Identification, Social Security Number, and any other information requested by the Foundation. Should the 30th calendar day fall on a Saturday, Sunday or recognized holiday, then the Claims Period shall be extended to the immediately following business day. Any transportation required for an Entrant to present the Winning Ticket shall be the Entrant’s sole responsibility and will not be furnished by the Foundation. The Foundation has no obligation to contact potential winners. If no Entrant claims the Prize within the Claims Period, or if an Entrant fails to follow all claim procedures by the close of the Claims Period, the Winning Ticket is disqualified, and the Prize will be donated to the Foundation.

Prize: The Official Winner of each Drawing will, subject to the Official Rules, be awarded 50% of the net Raffle sales of that applicable game, less any and all applicable taxes or fees (“Prize”). The remaining proceeds shall be retained by the Foundation. Each Official Winner assumes all responsibility for any state, county, or federal taxes, fees and withholdings. Federal and state withholding laws are subject to change without notice. The withholding laws in an effect at the time each Prize is claimed will be followed. The Prize will be paid to the Official Winner by check within 30 business days after the date the Prize is claimed. A physical Ticket is the only valid receipt for claiming a Prize.

Odds: The odds of winning the Prize are 1/the total number of eligible entries received.

Raffle Tickets are Not Tax Deductible: The IRS has taken the position that amounts paid for chances to participate in raffles, lotteries, or similar programs are not gifts and, therefore, the price of the entry does not qualify as a deductible charitable contribution.

IRS Reporting and Withholding: Official Winners are subject to IRS rules and regulations regarding gambling winnings. If the Prize amount is $600.00 or more and at least 300 times the value of the Official Winner’s individual Winning Ticket, the Foundation must complete and file IRS Form W-2G. If the Prize amount is $5,000.00 or more, the Foundation must complete and file IRS Form W-2G and withhold federal income tax of 24% from the Official Winner’s proceeds. If the Prize amount is $600.00 or more and at least 300 times the value of the Official Winner’s individual Winning Ticket, and if the Official Winner does not furnish a correct Taxpayer Identification Number, the Foundation must complete and file IRS Form W-2G and withhold federal income tax of 24% from the Official Winner’s proceeds. Official Winners who are nonresident aliens for tax purposes will be subject to all applicate withholding and reporting requirements. Official Winners may waive the right to receive a Prize, at which time the Prize from that Drawing date will be forfeited and proceeds will be reclaimed by the Foundation for charitable use.

Transfer of Raffle Ticket: Entrants may opt to give away their Tickets to another eligible person, but in doing so the Entrant waives any claim he/she might otherwise have to the Prize. Entrants may not re-sell their Tickets to other parties, and may not give Tickets away to another for the purpose of allowing those other parties to re-sell such Raffle Tickets. All Tickets which have been resold in violation of these Official Rules shall be void. All individuals who re-sell, purchase, or receive Tickets in violation of these Official Rules shall be ineligible to participate in the Raffle or to win a Prize. Transferred Prizes shall be bound by all the terms and conditions of these Official Rules.

Winners List: For a list of Winning Tickets and Prize amounts for each Drawing, please visit www.milb.com/corpus-christi/community/raffle.

Release of Liability: By entering into the Raffle, each Entrant agrees to: (a) be bound by these Official Rules; and (b) release, waive, discharge, covenant not to sue, and indemnify the Foundation, Corpus Christi Baseball Club, LP, Hooks GP, LLC, Astros Hooks, LLC, City of Corpus Christi, Port of Corpus Christi, Houston Astros, LLC, all MLB PDL Entities, and their respective parent corporations, subsidiaries and affiliates, together with their owners, partners, employees, officers, directors, sponsors and agents, including advertising, sponsorship and promotion agencies (collectively, the "Released Parties") from any and all liability with respect to any injury, damage or loss that may occur, directly or indirectly, in whole or in part, from the participation or while preparing to participate in the Raffle. The "MLB PDL Entities" shall mean MLB Professional Development Leagues, LLC (“PDL”), each PDL Club, each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with PDL or the PDL Clubs, and all owners, officers, directors, employees, agents, partners, and members of those entities.

Publicity Release: Each Official Winner, by accepting his/her Prize, grants the Foundation and Foundation designees and affiliates, including Corpus Christi Baseball Club, LP, Houston Astros, LLC and the other MLB PDL Entities full permission to use Official Winner's name, photograph, voice and/or likeness and Prize information for advertising, trade and promotional purposes without further compensation and without notice, review or approval, in all media (including on the Internet) now known or hereafter discovered, worldwide, in perpetuity.

Disclaimer: The Foundation, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or otherwise in violation of the Official Rules. The Foundation further reserves the right to cancel, terminate or modify the Raffle for any reason, including, but not limited to any Raffle that is not capable of completion as planned, infection by tampering, unauthorized intervention, technical failures of any sort, fraud, strike, lockout, labor disputes, or acts of God.

The Released Parties are not responsible for: (1) Tickets which are lost, stolen, improperly issued, printed erroneously, counterfeited, illegible, given away, altered or subject to other deficiencies which may limit an Entrant's ability to participate in or win any Raffle; (2) Entries or payments that are delayed, misdirected, undelivered, not fully captured, or garbled in a ISP, website, computer, telephone, cable or satellite modem or connection, handheld mobile device or any other computer equipment or connection, whether or not caused by site users, tampering, hacking, or by viruses, worms or malfunctions affecting network, server ISP or any equipment or programming used in or associated with the Raffle; (3) Any other errors of any kind, whether human, typographical, printing, mechanical, or electronic in nature which relates to the Raffle, including without limitations errors in Raffle related materials or in the administration of the Raffle, such as errors in processing Tickets, determining Official Winners, or announcing or delivering Prizes, or any portion of the Raffle that is compromised. In all foregoing circumstances, the Foundation reserves the right, in its sole discretion, to suspend, modify or terminate the Raffle. Released Parties make no warranty, guaranty or representation of any kind concerning any Prize and disclaim any implied warranty. Failure to enforce any term of these Official Rules shall not constitute a waiver of this provision.

GOVERNING LAW: THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN CONFORMITY WITH THE LAWS OF THE STATE OF TEXAS (EXCLUSIVE OF CONFLICTS OF LAWS PRINCIPLES). EACH PARTY HEREBY EXPRESSLY WAIVES ANY AND ALL RIGHTS WHICH IT MAY HAVE TO MAKE ANY OBJECTIONS BASED ON JURISDICTION, VENUE, OR SUFFICIENCY OF PROCESS TO ANY SUIT BROUGHT TO ENFORCE THIS AGREEMENT IN HARRIS COUNTY, TEXAS.
